Canadian Broker Dealers and Agents

Information on how to register as a Canadian Broker Dealer or agent in New Hampshire.

Broker dealers licensed to sell securities in New Hampshire who reside in Canada and do not have an office or physical presence in the state may offer and sell securities to:

  • A person from Canada who temporarily resides in New Hampshire with whom the Canadian broker dealer had a bona fide broker dealer client relationship before the person entered the United States; OR
  • A person from Canada who lives in New Hampshire and holds and contributes to a self-directed, tax-advantaged retirement plan in Canada.

How to obtain a Canadian Broker Dealer Limited License

To obtain a license to sell securities in New Hampshire pursuant to RSA 421-B:4-401(e), a Canadian broker dealer must submit the following to the Bureau of Securities Regulation:  

  • An originally signed application in the form required by the jurisdiction in which the broker dealer has their head office; and
  • An originally signed and notarized consent to service of process (Form U-2); and
  • Evidence that they are registered as a broker dealer in good standing in the jurisdiction from which they are effecting transactions into New Hampshire; and
  • Evidence that they are a member of a self-regulatory organization or stock exchange in Canada; and
  • An initial license fee of $300. Checks should be made payable to the State of New Hampshire.

How to obtain a license as an agent of a Canadian Broker Dealer

An agent who will be representing a Canadian broker dealer licensed under this section may obtain a New Hampshire license to effect securities transactions in New Hampshire only as permitted for the broker dealer in RSA 421-B:4-401(e) 

An agent who will be representing a licensed Canadian broker dealer in effecting securities transactions in New Hampshire may obtain a license by submitting the following to the Bureau of Securities Regulation: 

  • An originally signed application in the form required by the jurisdiction in which the broker dealer has their head office; and
  • An originally signed and notarized consent to service of process unless the form mentioned above contains an applicable consent form; and
  • Evidence that the agent is registered in good standing in the jurisdiction from which they are effecting transactions into New Hampshire; and
  • An initial license fee of $130.  Checks should be made payable to the State of New Hampshire.

License Renewal

Canadian broker dealers and agents under RSA 421-B:4-401(e) must renew their licenses annually with the New Hampshire Bureau of Securities Regulation by December 31.

Broker dealers and agents who do not register by December 31 will have their registration automatically terminated. If broker dealers and/or agents continue to operate after failing to meet the registration deadline, they may be subject to enforcement action.

Broker dealers: To renew, broker dealers must submit the following to the Bureau of Securities Regulation:

  • A copy of the most recent renewal application, if any, filed in the jurisdiction in which the broker dealer has its head office, or if no such renewal application is required, a letter signed by a principal of the broker dealer stating that none is required and that the broker dealer intends to renew in New Hampshire; and
     
  • The renewal fee of $250. Checks should be made payable to the State of New Hampshire.

Agents: To renew, submit the following to the Bureau of Securities Regulation: 

  • A copy of the most recent renewal application, if any, filed in the jurisdiction in which the broker dealer has its head office, or if no such renewal application is required, a letter signed by a principal of the broker dealer that the agent intends to renew in New Hampshire; and
     
  • The renewal fee of $100.  Checks should be made payable to the State of New Hampshire.

License Withdrawal

Broker dealers: To withdraw their license, broker dealers should submit either a written withdrawal request or a withdrawal form from the jurisdiction in which the broker dealer has their head office.

Agents: To withdraw their license, agents should submit either a written withdrawal request or a withdrawal form from the jurisdiction in which the broker dealer has their head office.
