#1            The Governor and Executive Council on motion of Councilor Burton, seconded by Councilor Wieczorek and further on a roll call vote as follows: Councilor Burton – yes, Councilor Shea – yes, Councilor Hollingworth – yes, Councilor Wieczorek – yes, and Councilor Pignatelli – yes, authorized to hold a Public Hearing with respect to the financing of a loan to Claremont Development Authority for the benefit of Red River Computer Company, Inc. located in Claremont, NH.  Action will Authorized a Resolution under RSA 162-A:18 to determine the financing will serve a public use, provide public benefit and is within the policy and authority of the Act.

                At approximately 11:00 a.m., the Governor announced that the next matter to be considered would be the purchase by the Business Finance Authority of a loan to be made by Claremont Development Authority and declared that the public hearing on the subject had commenced.  He said that he and the members of the Council had received written material from the Authority with respect to the proposed loan.  The Governor then said that the meeting would hear anyone wishing to speak on the subject. Jack Donovan, Executive Director of the Authority, briefly explained the project.  The Governor then repeated that the proceedings were a public hearing and asked whether any other person wished to speak; there being none, Councilor Burton introduced a resolution entitled "A RESOLUTION UNDER RSA162-A:18 AWARDING A LOAN PURCHASE UNDER RSA 162-A:7  WITH RESPECT TO A CERTAIN LOAN TO CLAREMONT DEVELOPMENT AUTHORITY" and moved its adoption, which was seconded by Councilor Wieczorek.  There being no discussion, the  Governor called for a vote on the motion.  Those voting in favor were: The Governor and Councilor Burton, Councilor Shea, Councilor Hollingworth, Councilor Wieczorek, and Councilor Pignatelli; those abstaining were Councilor(s):  None; and those voting against were Councilor(s):  None.  The Governor declared that the resolution was passed.

A RESOLUTION UNDER RSA 162-A:18 AWARDING A LOAN

UNDER RSA 162-A:7 FROM THE BUSINESS FINANCE AUTHORITY OF

THE STATE OF NEW HAMPSHIRE TO CLAREMONT DEVELOPMENT AUTHORITY

 

                WHEREAS, the Governor and Council (the "Governor and Council") of the State of New Hampshire (the "State") have received from the Business Finance Authority of the State of New Hampshire (the "Authority") its written recommendation that the Governor and Council make certain findings and determinations pursuant to RSA 162-A:18 with respect to a loan by the

Authority to Claremont Development Authority (the "Borrower") in the original principal amount of up to $500,000 to provide financing to the Red River Computer Company, Inc. for the

redevelopment of the Wainshal Mill located in Claremont, New Hampshire.(the "Loan"):

 

                WHEREAS, pursuant to the provisions of RSA Chapter 162-A, the Governor and Council is authorized to approve the recommendation of the Authority and to authorize and approve the Loan by the Authority upon the making of specific findings after public hearing;

 

                WHEREAS, the Governor and Council will receive all the documentation and information with respect to the proposed Loan by the Authority; and

 

                WHEREAS, further action by the Authority with respect to the proposed transaction is subject to the passage of this Resolution and cannot be taken until after its passage.

 

                NOW, THEREFORE, it is hereby resolved that:

 

                1.             Findings and Determination.  On the basis of the documentation and information received by the Governor and Council, after a public hearing, the Governor and Council find:

 

                a.             Special Findings.

 

                                (i)  The Loan in consistent with local or regional development plans or policies.

 

                b.             General Findings.

 

(i)            The Loan that the Authority has proposed will serve a public use and provide a public benefit.

 

(ii)           The Loan that the Authority has proposed is within the policy of, and the authority conferred, by RSA Chapter 162-A.

 

(iii)          The Loan that the Authority has proposed will preserve or increase the social welfare or economic prosperity of the State and one or more of its political subdivisions, and will promote the general welfare of the State's citizens.

 

(iv)          The Loan that the Authority has proposed will promote the orderly development of business activities, create or preserve employment opportunities, or protect the physical environment.

 

                2.             Approval.              Governor and Council approve the Loan by the Authority as recommended by the Authority and authorize the Authority to cause the execution and delivery of the loan documents substantially in the form submitted to Governor and Council and to take such further action as the act with respect to the transaction as may be required.

 

                3.             Effective Date.  This Resolution shall take effect upon its passage.

 

                Passed and agreed to June 27, 2007.

 

                                COMMUNITY DEVELOPMENT FINANCE AUTHORITY

The Governor and Council acted as follows:

 

#2            Authorized to enter into an agreement with Grafton County, N. Haverhill, NH, for the purpose of subgranting up to $490,000 to the NH Community Loan Fund for a Microenterprise Development and Assistance grant in the amount of $500,000.  Effective upon G&C approval through June 30, 2008.  100% Federal Funds. 

 

#3            Authorized to enter into an agreement with the Town of Greenfield, NH, for the purpose of creating an adult day care serving severely disabled adults in the amount of $190,000.  Effective upon G&C approval through June 30, 2009.  100% Federal Funds. 

 

#4            Authorized to amend a grant to Coos County, West Stewartstown, NH, (previously approved by G&C on 10-5-05, item #9), to purchase a turbine to lower the cost of electricity for Ethan Allen, which will retain 323 jobs in the North Country, by extending the completion date to June 30, 2008 from June 30, 2007.  100% Federal Funds. 

 

#5            Authorized to enter into an agreement with the Town of Lancaster, NH, for the purpose of constructing a child care center in the amount of $200,000.  Effective upon G&C approval through June 30, 2009.  100% Federal Funds. 

 

                                OFFICE OF ENERGY AND PLANNING

The Governor and Council acted as follows:

 

#6            Authorized to enter into a sole source agreement with the University of NH, Complex Systems Research Center, Durham, NH, to continue implementation of GRANIT, the state’s computerized geographic information system in the amount of $70,000.  Effective July 1, 2007 through June 30, 2008.  100% General Funds. 

 

#7            Authorized to enter into a sole source contract with Southern NH Planning Commission, Manchester, NH, for planning assistance and training to municipalities on local, municipal and regional planning issues in the amount of $26,165.  Effective July 1, 2007 through June 30, 2008.  (2)Further Authorized to advance to the vendor $6,541 to immediately begin work for the first quarter of FY 2008.  100% General Funds. 

 

#8            Authorized to enter into a sole source contract with Central NH Regional Planning Commission, Concord, NH, for planning assistance and training to municipalities on local, municipal and regional planning issues in the amount of $25,215.  Effective July 1, 2007 through June 30, 2008.  (2)Further Authorized to advance to the vendor $6,303 to immediately begin work for the first quarter of FY 2008.  100% General Funds. 

 

#9            Authorized to enter into a sole source contract with North Country Council, Bethlehem, NH, for planning assistance and training to municipalities on local, municipal and regional planning issues in the amount of $26,999.  Effective July 1, 2007 through June 30, 2008.  (2)Further Authorized to advance to the vendor $6,749 to immediately begin work for the first quarter of FY 2008.  100% General Funds. 

 

                                OFFICE OF INFORMATION TECHNOLOGY

The Governor and Council acted as follows:

 

#10          Authorized with Councilor Pignatelli voting no, to enter into a sole source retroactive contract with Granite State Management & Resources, Concord, NH, to provide, host, and maintain a software application, which is designed to administer the NH grant program in the amount of $45,499.  Effective March 15, 2006 through March 15, 2011.  100% Other Funds. 

 

#11          Authorized on behalf of the NH Department of Transportation to amend a sole source contract with Bentley Systems, Incorporated, Exton, PA, (previously approved by G&C on 12-21-05, item #21), for maintenance and support services of a proprietary software license, by increasing the amount by $166,517 from $108,251.70 to $274,768.70, and by extending the completion date through December 31, 2009.  100% Other Funds. 

 

#12          Authorized with Councilor Pignatelli voting no, to retroactively amend a sole source contract with Netsmart New York Inc., Great River, NY, for additional proprietary software module services for the Patient Care System at the NH Hospital by increasing the amount by $217,000 from $1,449,057 to $1,666,057.  Effective April 2, 2007 through May 25, 2007.  100% Other Funds. 

 

#13          Authorized to accept assignment of a sole source contract with CBE Technologies, Boston, MA, to CBE Holdings LLC, Charlestown, MA.  Effective upon G&C approval.  (2)Further Authorized to amend a contract with CBE Holding LLC, for the maintenance of Point of Sale equipment located in all NH State Liquor Stores, by extending the date from June 30, 2007 to March 31, 2008, and by increasing the amount by $63,769.59 from $200,000 to $263,769.59.  Effective upon G&C approval.  100% Other Funds.

#16          Authorized to amend a contract between the Department of Resources and Economic Development, Division of Parks and Recreation and Mission Management Information Systems Inc., Niagara Falls, Ontario Canada, (previously approved by G&C on 2-7-07, item #46), to provide support for Campground Manager reservation software, Book-Your-Site on-line reservation program and PC Charge software, by assigning the contract to OIT.  Effective upon G&C approval through October 31, 2007.

 

                                JUDICIAL COUNCIL

The Governor and Council acted as follows:

 

#17          Authorized to enter into agreements with qualified attorneys in the State during the 2008-2009 biennium, to provide for the representation of indigent defenders in circumstances where the Public Defender Program is disqualified or not able to provide such representation due to caseload limitations in the amount of $2,330,000 in FY 08 and $2,330,000 in FY 09.

 

#18          Authorized to enter into an agreement with Court Appointed Special Advocates of NH, Inc., during the 2008-2009 biennium to provide guardian ad litem services in abuse and neglect cases and certain termination of rights and guardianship cases and certain termination of rights and guardianship cases in the amount of $390,000 in FY 2008 and in the amount of $520,000 in FY 09.  Effective upon G&C approval through June 30, 2009. 

 

#19          Authorized to enter into an agreement with the NH Public Defender to deliver indigent defense representation in an amount not to exceed $16,580,646 in FY 08 and in an amount not to exceed $17,929,754 in FY 09.

 

                                ADJUTANT GENERAL

The Governor and Council acted as follows:

 

#20          Authorized to exercise a contract renewal option with URS Corporation, Salem, NH, (previously approved by G&C on 4-6-05, item #17), for solid and hazardous waste management risk evaluations at facilities used by the NH National Guard to transport, store and dispose of hazardous waste in the amount of $4,850.  Effective upon G&C approval through February 28, 2008.  100% Federal Funds. 

 

#21          Authorized Wayne W. Santos, Westminster, MA, be nominated for promotion to the rank of Lieutenant Colonel, NH Army National Guard.  This officer meets all prerequisites for this grade, having been found to by physically, mentally, and professionally qualified.

#29          TABLED – The Governor and Executive Council on motion of Councilor Pignatelli, seconded by Councilor Hollingworth voted to table the request to enter into an agreement with Securitas Security Services USA Inc., Portland, ME, to provide security services at the State Military Reservation, Concord, NH, for a cost of $786,843.30 per year with the option for two one-year renewals for a total cost of $2,360,529.90.  Effective July 1, 2007 through June 30, 2010.  100% Federal Funds.

#416D     Authorized Bureau of Right of Way petition for a Public Hearing that involves the alteration of a Class I state highway, with a committee consisting of Councilor Wieczorek as Chairman, and Councilor Shea and Councilor Pignatelli as members.  The project involves the construction of an easterly access-only interchange and access road on Interstate Route 93 (I-93), between Exits 4 and 5.
